Senior Legal Counsel

Job Responsibility: · Draft/ Vet agreements, MoU, SLA, NDA, Amendment, Renewal, Addendum to the Agreements/MoU. collect feedback from the internal and external stakeholders for any observations, incorporate the changes in alignment with the legal framework of BL, finalize the agreed draft and ensure the signing for final execution· Identify the risk or request from stakeholders about a particular risk, coordinate with the concerned departments within the Organization and Vendors/ Supplier/Governmental entities and/or their lawyers to resolve the legal as well as commercial and procurement related issues to facilitate the timely resolution of the Agreements/MoU/SLA by providing recommendation in accordance with the BL and Group policy and strategy· Conduct research and analyze the laws, regulations in order to assist internal stakeholders with the updated laws and regulation· Update Legal database for assigned final agreements and other legal documentation, track and monitor ongoing issues in a registrar and follow up with respective stakeholders in regards to the status of execution· Identify legal risk/issues in the existing format/new of different Agreements, Memorandums, Memos and Templates, collect views of the user departments on the existing templates to understand new requirements, propose modification thereto and finalize, submit amp; circulate the modified Agreement(s)/ Memo(s)/ Template(s) before concern management for implementation and for use by relevant stakeholders· Address appropriate legal strategy for dispute involved with a high financial stake, obtain approval from the Management on an agreed legal course of action and instruct external legal counsels to take appropriate actions. · Prepare comprehensive ‘Plan of Action’ for necessary legal action and propose a way forward for effective resolution of any dispute· Review, identify and propose a legal strategy for the next ‘forum’ and ‘course of action’ (where the Judgments/Orders are against the Company), ensure proper litigation management through appearance and attending through the external counsels before the Appellate Division, High Court Division, Labour Appellate Tribunal, and Customs Tribunal for filling amp; defending cases, swearing affidavit, deposition, hearing and argument in all high-value litigation matters individually as well as along with external counsels on behalf of Company. · Manage the process for intellectual properties of the company, identify and manage the ongoing management of copyright, trademarks and track and manage trademark applications of the company
Required Academic Qualifications·LLB (Hons.) must be enrolled in the Bangladesh Bar Council; preferably having LL.M/Bar-at-LawRequired Experience·3-4 years of relevant experience
Required Knowledge amp; Skills·Basic knowledge on Company Law, Telecommunication Law and general corporate laws· Strong understanding of commercial aspects and the role of legal support requires for achieving commercial targets· Through understanding of end to end contract execution process· Basic understanding of the market and industry practice
